1. About this agreement

These Terms of Service ("Terms") govern your use of PDF Ninjas, a free online PDF toolkit available at pdfninjas.com, operated by Tiamata Digital ("we", "us", or "our"). By accessing or using PDF Ninjas, you agree to be bound by these Terms. If you do not agree, do not use the service.

We may update these Terms from time to time. Continued use of the service after changes are posted constitutes acceptance of the updated Terms.

2. The service

PDF Ninjas provides browser-based tools for processing PDF and related documents, including merging, splitting, compressing, rotating, converting, and editing PDF files. The service is provided free of charge, subject to the usage limits described below.

We make no guarantee that the service will be available at all times. We may modify, suspend, or discontinue any part of the service at any time without notice, though we will make reasonable efforts to provide advance notice of significant changes.

3. Free usage limit

Free use of PDF Ninjas is limited to 25 operations per email address per calendar year. A "calendar year" means January 1 through December 31. Your operation count resets to zero on January 1 each year.

An "operation" is one use of any processing tool (one merge, one compression, one conversion, etc.), regardless of the number of pages or the file size processed.

We use your email address solely to track your usage count. Providing false, disposable, or third-party email addresses to circumvent the usage limit is a violation of these Terms.

4. Acceptable use

You agree to use PDF Ninjas only for lawful purposes and in a manner consistent with these Terms. You must not use the service to:

• Process, store, or distribute any content that is illegal under applicable law
• Infringe the intellectual property rights of any third party
• Process documents you do not own or have authorisation to process
• Attempt to reverse-engineer, scrape, or automate access to the service in bulk
• Introduce malware, viruses, or any malicious code through uploaded files
• Circumvent or attempt to circumvent the usage limits
• Impersonate any person or organisation
• Use the service in any way that could damage, disable, or impair its operation

We reserve the right to terminate or restrict your access to the service if we reasonably believe you have violated these Terms.

5. Your files and content

You retain full ownership of all documents you upload to PDF Ninjas. By uploading a document, you grant us a limited, temporary licence to process it solely for the purpose of delivering the requested output to you. This licence terminates immediately when processing is complete and the output is made available for download.

We do not claim any ownership of, or rights in, your documents. See our Privacy Policy for full details of how your files are handled.

You are solely responsible for ensuring that you have the right to upload and process any document you submit to the service.

6. Accuracy of output

PDF processing is a complex technical task and output quality may vary depending on the structure and formatting of the input document. While we work to produce accurate, high-quality results, we make no warranty that the output of any tool will be free of errors, perfectly formatted, or suitable for any particular purpose.

Always review converted or processed documents before using them in any professional or legal context. We are not responsible for decisions made based on processed output.

7. Intellectual property

All content on pdfninjas.com — including the software, design, graphics, text, and underlying code — is the property of Tiamata Digital or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the site without our express written permission.

8. Disclaimer of warranties

PDF Ninjas is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. We do not warrant that the service will be error-free or that any defects will be corrected.

9. Limitation of liability

To the fullest extent permitted by applicable law, Tiamata Digital and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of PDF Ninjas, including but not limited to loss of data, loss of profits, or loss of business opportunity.

Our total liability to you for any claim arising out of or related to these Terms or the service shall not exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) USD $10.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability — in such cases, the limitations above apply to the fullest extent permitted by law.

10. Governing law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
